Highlands School Parent-Teacher Organization
By-Laws

Article I. Name
The name of this organization shall be the Highlands School
Parent-Teacher
Organization (referred to in future references as Highlands School PTO).
Our location is
Highlands, NC.
Article II. Objectives of the Highlands School PTO shall be:
• To positively support the faculty, students, parents, and volunteers
of Highlands
School.
• To raise funds in a manner sanctioned by the Macon County School Board
(MCSB) for the benefit of Highlands School activities which have been
approved
by the MCSB and the Highlands School PTO.
• To support the communication between the community and Highlands
School.
Article III. Basic Policies
Section 1. The mission for this organization shall be supportive and
shall be
developed through conferences, committees, and projects.
Section 2. This organization shall be non-commercial, non-sectarian, and
non-partisan. No commercial enterprise and no candidate shall be
endorsed by it. Neither the name of the organization, nor its
officers in their official capacities shall be used in any connection
with a commercial concern or with any partisan interest or for any
purpose.
Section 3. This organization shall not, directly or indirectly,
participate or
intervene (in any way, including the publishing or distributing of
statements) in any political campaign for public office; or devote
more than an insubstantial part of its activities to attempting to
influence legislation by propaganda or otherwise.
Section 4. This organization shall not seek to direct the administrative
activities of the school or to control its policies.
Section 5. This organization may cooperate with other organizations and
agencies active in child welfare, such as conferences, groups, or
coordinating councils, provided its representatives make no
commitments which bind the group it represents.
Section 6. In the event of the dissolution of this organization, the
assets of the
organization shall be distributed for one or more of the exempt
purposes specified in section 501 (c) (3) of the Internal Revenue
Code of 1954 as from time to time amended.
Article IV. Membership
Section 1. Any person, regardless of race, color, or religion may become
a
member upon the completion of a membership form.
Section 2. There shall be no requirement for members to pay dues.
Donations
from members will be welcomed. Donations shall be used for
expenses incurred by the organization.
Section 3. An annual enrollment of members shall be conducted, and
additional members shall be accepted at any time.
Article V. Officers and Their Election
Section 1. The officers (the PTO Board of Directors) of this
organization
shall consist of a President, one or more Vice-Presidents, a
Secretary, a Treasurer, a parent representative from each area:
elementary, middle, and high school, and a teacher representative
from each area: elementary, middle, and high school.
Officers shall be elected by ballot at the last annual meeting.
However, if there is but one candidate for any office, by motion
from the floor, the election may be made by voice.
All officers except for the Secretary and Treasurer shall serve for a
term of one year and shall remain in office until their successors
are elected. The Secretary and Treasurer shall serve for a term of
two years.
No officers shall be eligible to the same office for more than two
consecutive terms.
The nominating committee shall be appointed by February and will
consist of three PTO Board Members. The slate of nominations for
new members shall be proposed by the President during the April
Board meeting and approved by the PTO Board of Directors.
Section 2. The nominating committee shall report at the election meeting
in
May the name of at least one candidate for each office to be filled.
The consent of each candidate must be obtained before his or her
name is being placed in nomination. Voting shall not be limited to
the nominees.
Section 3. A vacancy occurring in an office shall be filled by a vote of
the
members or the organization at the next regular meeting, due
notice of such election having been given. In case a vacancy occurs
in the office of the President, the Vice-President shall assume the
position of the President.
Section 4. This organization shall elect or appoint any other officer
thought
capable to carry on its work.
Article VI. Duties of Officers
Section 1. The President shall preside at all meetings of the
organization
(and) of the executive committees, shall be a member ex-officio of
all committees except the nomination committee, and shall
perform all other duties usually pertaining to the office.
Section 2. The Vice-President shall act as aide to the President and
shall
perform the duties of the President in the absence or inability of
that officer to serve.
Section 3. The Secretary shall record the minutes of all meetings of the
organization and of the executive committee and shall perform
such other duties as may be delegated to him or her.
Section 4. The Treasurer shall receive all monies of the organization;
shall
handle all monies with one other PTO member and/or officer; shall
keep an accurate record of receipts and expenditures; and shall pay
out local funds only authorized by the organization. The Treasurer
shall present a financial statement at every meeting of the
organization, and at the final meeting. The Treasurer’s accounts
shall be examined annually by an auditor or an auditing committee
of not less than three members, who, satisfied that the Treasurer’s
annual report is correct, shall sign a statement of that fact at the
end of the report. The auditing committee shall be appointed by the
executive committee at least two weeks before the annual meeting.
Article VII. Meetings
Section 1. The meetings of the organization shall be held as determined
by
the executive board unless otherwise provided by the organization,
or the executive committee. The executive committee will receive
notification of the number of meetings and months in which
meetings will be held.
Section 2. Special meetings may be called by the executive committee,
five
days’ notice having been given.
Section 3. At the annual meeting, annual reports shall be received and
officers elected and installed.
Section 4. The privilege of holding office, making motions, debating,
and
voting shall be limited to members of the organization.
Article VIII. Executive Committee
Section 1. The executive committee shall consist of the officers of the
organization, the chairman of standing committees, and the
principal of the school or representative appointed by her or him.
The members shall serve until their successors are elected.
Section 2. The duties of the executive committee shall be:
A. To transact necessary business in the intervals between
organization meetings, and other such business referred to it.
B. To approve plans of work by standing committees.
C. To present a report at the regular organization meetings.
D. To appoint an auditor or auditing committee at least two weeks
before the annual meeting to audit the Treasurer’s accounts.
E. To prepare and submit to the organization for approval a
budget for the fiscal year.
F. To approve routine bills within limits of the budget.
G. To create standing committees.
Article IX. Standing Committees
Section 1. Such standing committees shall be operated by the executive
committee as may be required to promote the objectives and
interests of the organization. The chairperson of the standing
committees shall be selected by the officers, and principal of the
school for the term of one year.
Section 2. The chairperson of all standing committees shall present
plans of
work to the executive committee. No committee work shall be
undertaken without the approval of the executive committee.
Section 3. Since a special committee is created and appointed for a
specific
purpose, it automatically goes out of existence when its work is
done and its final report received.
Section 4. The President shall be an ex-officio member of all committees
except the nominating committee.
Article X. Parliamentary Authority
The rules contained in an updated and revised edition of Robert’s Rule
of Order
shall govern this organization in all cases to which they are applicable
and in which they
are not inconsistent with they by-laws and those of the state branch and
the National
Congress.
Article XI. Amendments
Section 1. (a) These by-laws may be amended at any regular meeting of
the
organization by a two-thirds majority vote of the members present
and voting, providing notice of the proposed amendment has been
given at the previous regular meeting.
(b) A committee may be appointed to submit a set of by-laws as a
substitute for these by-laws only by a majority vote of the
executive committee.
Article XII. Miscellaneous
The by-laws of this organization shall be deemed to be part of its
articles of
organization. |
